LETTER OF INTENT BETWEEN THE INVESTMENT, SCIENCE AND TECHNOLOGY BRANCH OF THE DEPARTMENT OF INTERNATIONAL TRADE OF CANADA AND INVEST IN GERMANY GMBH OF THE GERMAN FEDERAL MINISTRY OF ECONOMICS AND LABOUR

The Investment, Science and Technology Branch of the Department of International Trade of Canada (the Investment, Science and Technology Branch) and Invest in Germany GmbH of the German Federal Ministry of Economics and Labour (Invest in Germany GmbH), hereinafter referred to as "the Participants", recognizing common interests in developing their investment capacity and wishing to enrich their bilateral relationship, intend to explore the possibility of cooperation with respect to investment.

Following recent discussions on the possibility of collaboration, the Participants understand that the objective of this Letter of Intent constitutes a valuable mechanism for the Participants to identify possible modes and areas of cooperation in order to support two way investment attraction.

Therefore the Participants express their intent in this document, as follows:

1. Scope and Objective

The Participants will explore cooperation in the field of investment attraction in areas mutually acceptable to them, including science, technology and research.

2. Operational Outline

The Participants understand that:

  1. Forms of cooperative activities under this arrangement may involve but not limited to:
    • exchanges of information and best practices
    • visits and missions
    • workshops
    • investment studies
    • other forms of cooperative activities mutually acceptable to the Participants
  2. Activities under this Letter of Intent should involve the Participants' respective
    • Government agencies
    • Embassies
    • Provinces
    • Lander
    • Regional economic development agencies
    • Industry associations
    • Chambers of commerce
    • and other organizations appropriate
  3. The focus of the cooperation in inv attaction wil be mutually identified priority sectors which may include, but not limited to :
    • Aerospace
    • CT
    • Optical technologies
    • New technologies (composite materials nanotechnology)
    • New energies fuel cells, wind
    • Life sciences (pharmaceuticals, medical devices and biotechnology)
    • Automotive parts

3. Intellectual Property

This Letter of Intent will only cover cooperation, which will not generate intellectual property and it will not cover any level of cooperation, which could gi.ve rise to intellectual property. The possibility of major cooperation, or any cooperation, likely to generate intellectual property, may be discussed under this Letter of Intent but a more detailed and formal implementing agreement will be required before such activities proceed.

4. Management afthis Letter af Intent:

The Participants decide that a senior level working group will meet on a regular basis to review and evaluate the cooperation and to define an annual action plan in consultation with all interested partners.
